Requirements

  • 5-10 years (US-qualified) experience in a top-tier US law firm; additional in-house experience preferred.
  • Strong grasp of contractual and commercial issues relevant to proprietary trading firms (e.g., experience with drafting and negotiating trading agreements and lending agreements).
  • Corporate governance, lending, corporate finance and/or M&A background, with experience in maintaining shareholder registers and obtaining corporate approvals.
  • Knowledge of US securities laws, SEC/FINRA regulations, and money transmission laws; experience dealing with regulatory agencies such as the SEC and FINRA.
  • Commercial disputes/litigation experience across securities and digital assets and/or experience liaising with regulators.
  • Experience working in a high-performance, dynamic and high-growth environment and leading complex regulatory projects.
  • Ability to work closely with different stakeholders across time zones.
  • Interest and/or understanding of the crypto industry.
  • Self-motivation, hands-on approach, and ability to identify external resources.
  • Common sense, ability to problem-solve, and willingness to adapt and learn quickly.
  • Proven track record of working across functions and successfully launching regulated financial products.
  • Good to have: cross-border regulatory experience (UK and Singapore) and/or prior in-house work experience in a regulated environment in the digital assets industry.
  • Responsibilities

  • Draft and negotiate trading and commercial agreements (OTC and on-exchange trading in spot crypto assets, securities and derivatives, liquidity provisioning/market making, exchange agreements, software agreements, and other trading agreements).
  • Support the regulatory team: advise, implement and operationalise US legal advice or regulatory or case-law developments; develop Wintermute's digital assets policy; develop regulatory and operational strategy for new products; handle disputes, regulatory inquiries, and mitigate regulatory risks.
  • Collaborate with business and legal stakeholders on non-US regulatory matters.
  • Develop, update, and maintain appropriate trading and commercial agreements for each business line.
  • Educate the business on legal aspects of trading and commercial agreements.
  • Work on corporate matters such as investments, acquisitions, corporate governance, and lending; prepare board and shareholder approvals.
